Welcome to Deal Box.

These Terms of Use ("Terms") govern your access to and use of websites and issuer-direct portals operated by Deal Box, Inc. ("Deal Box," "we," "us," or "our") including any private issuer portals, data rooms, or public information pages we host (collectively, the "Platform").

By accessing or using the Platform, you agree to these Terms and to our Privacy Policy (collectively, the "Agreement"). If you do not agree, do not use the Platform.

1. Nature of Services

Deal Box is a capital-markets technology and infrastructure company that provides investment-packaging and issuer-direct portal hosting services.

We are not a broker-dealer, placement agent, funding portal, underwriter, investment adviser, escrow agent, transfer agent, custodian, or law firm. We do not:

solicit or negotiate investments;
handle, transmit, or safeguard investor funds or securities;
structure or recommend terms of any transaction; or
provide investment, legal, tax, or accounting advice.

All content, offerings, and communications visible on the Platform are issuer-direct and issuer-approved. Deal Box's role is limited to technology, workflow, and infrastructure support.

2. Issuer Compliance and Representations

Each issuer is solely responsible for its offering, materials, and securities-law compliance, including:

Determining eligibility for Regulation D Rule 506(c) or other exemptions;
Performing accredited-investor verification;
Making required Form D and "blue sky" filings;
Preparing and maintaining offering documents, disclosures, and financial statements.

Issuers represent and warrant that all information they supply or authorize for posting on the Platform is true, accurate, and not misleading and will be updated promptly for any material change.

Deal Box makes no representation or warranty that any issuer, offering, or transaction complies with federal or state securities laws.

3. Informational Use Only

The Platform and its content are provided for informational and educational purposes only. Nothing on the Platform constitutes:

an offer to sell or a solicitation of an offer to buy any security;
investment, legal, tax, or accounting advice; or
a recommendation or endorsement of any issuer, security, or strategy.

You are solely responsible for your investment or participation decisions and should consult your own professional advisers.

4. User Eligibility and Accounts

You must be at least 18 years old to use the Platform. Certain areas require you to certify accredited-investor status under Rule 501(a) of Regulation D.

You are responsible for safeguarding your login credentials and for all activity under your account. We may suspend or terminate access if information you provide is inaccurate or incomplete.

5. Monitoring Rights; No Duty

Deal Box may, but has no obligation to, monitor or review Platform activity, submissions, or communications for compliance or security purposes. Our choice to act—or not act—does not create any duty to any user, issuer, or third party.

6. Prohibited Conduct

You agree not to:

Post, upload, or transmit content that is fraudulent, misleading, unlawful, defamatory, infringing, or otherwise inappropriate;
Impersonate any person or misrepresent affiliation;
Attempt to scrape, crawl, harvest, reverse engineer, or bypass Platform security;
Upload malware or interfere with Platform operation;
Use the Platform to solicit, advertise, or compete in violation of law or these Terms.

We may remove content, suspend access, or take any other action we deem necessary for violation of this Section or applicable law.

7. Third-Party Services

The Platform may reference or integrate services provided by independent third parties—such as accreditation, KYC/AML, e-signature, data-room, escrow, or transfer-agent vendors.

These vendors operate under their own terms and privacy policies. Deal Box does not control or guarantee any third-party service and is not responsible for their acts, omissions, or outputs.

8. Intellectual Property

The Platform, software, design, and all content (other than issuer-provided materials) are owned by Deal Box or its licensors and are protected by copyright and other laws.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from any portion of the Platform without prior written consent.

9. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

DEAL BOX DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We make no warranty regarding accuracy, completeness, uptime, or error-free operation, and do not guarantee that use of the Platform will meet your expectations or achieve any particular result.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEAL BOX AND ITS AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL EVENTS, THE AGGREGATE LIABILITY OF DEAL BOX FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID TO DEAL BOX IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Deal Box and its affiliates from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

your use of the Platform;
your content or communications;
your violation of law or these Terms; or
any securities offering or transaction you conduct using the Platform.

Deal Box may assume exclusive defense and control of any matter subject to indemnification; you will cooperate as reasonably requested.

12. Termination; Modifications

Deal Box may suspend or terminate your access, remove content, or modify or discontinue any feature at any time, with or without notice.

You remain responsible for obligations and fees incurred prior to termination. Sections that by their nature survive (including §§ 9–13) shall survive termination.

13. Dispute Resolution; Arbitration; Class-Action Waiver

Any dispute or claim between you and Deal Box arising out of or relating to the Platform or these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration will occur in San Diego, California, in English, before a single neutral arbitrator.

You agree to bring disputes only in your individual capacity, not as a class or representative action. Each party waives any right to a jury trial.

This Section does not limit either party's right to seek equitable relief for unauthorized use of intellectual property or breach of confidentiality.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict-of-law principles.

If arbitration is found inapplicable, the exclusive venue for any court proceeding will be San Diego County, California.

15. No Relationship or Duty Created

Your use of the Platform does not create any fiduciary, advisory, agency, or partnership relationship with Deal Box. Deal Box owes no special duties to any user or issuer beyond those expressly stated in these Terms.

16. Feedback

If you provide comments, ideas, or suggestions ("Feedback"), you grant Deal Box a perpetual, royalty-free license to use that Feedback for any lawful purpose without restriction.

17. Changes to Terms

We may modify these Terms from time to time. Updated versions will be posted with a new "Last Updated" date. Continued use after posting means you accept the revised Terms.
